1. Introduction
Welcome to EIT Controls LLC. These terms and conditions outline the rules and regulations for the use of our industrial electrical and instrumentation services. By accessing our services or website, we assume you accept these terms and conditions in full. Do not continue to use EIT Controls LLC's services if you do not accept all of the terms and conditions stated on this page.
2. Definitions
'Company' refers to EIT Controls LLC, a Texas-based contractor. 'Client' refers to the entity or individual engaging the services of EIT Controls LLC. 'Services' refers to industrial electrical and instrumentation labor, technical staffing, automation consultancy, and specialized project support provided by the Company.
3. Scope of Services
EIT Controls LLC agrees to provide technical services according to the specific Statement of Work (SOW) or Service Agreement signed by both parties. Services include but are not limited to installation, calibration, and technical staffing for industrial environments. Any changes to the scope must be agreed upon in writing.
4. Client Responsibilities
The Client shall provide necessary site access, utilities, and a safe working environment compliant with Texas state and federal regulations. Client must supply all technical documentation relevant to the instrumentation or electrical systems required for the project execution.
5. Staffing and Workforce Terms
Licensed electricians and instrumentation technicians provided by EIT Controls LLC are assigned based on technical competency and project requirements. Client shall not solicit for employment any Company personnel during the term of the agreement and for a period of one year thereafter without a written buyout agreement.
6. Health, Safety and Compliance
Safety is the primary driver of our operations. Both parties agree to adhere strictly to OSHA standards and the site-specific safety protocols. EIT Controls LLC reserves the right to halt work immediately if a hazardous condition exists that threatens the safety of personnel or equipment.
7. Fees and Payment Terms
All invoices are due according to the payment terms specified in each individual contract or agreement between EIT Controls LLC and the Client. Late payments may be subject to interest at the maximum rate permitted by Texas law. Applicable taxes based on location of service will be added to the total fee.
8. Changes and Cancellations
Cancellations of scheduled service orders require a minimum notice of 48 hours. Changes to labor mobilization schedules may incur rescheduling fees to cover travel or operational displacement costs.
9. Warranties and Disclaimers
EIT Controls LLC warrants that services will be performed with professional diligence and industry standards. However, instrumentation performance depends heavily on Client-provided equipment and external industrial conditions. All other warranties, express or implied, are disclaimed.
10. Limitation of Liability
To the maximum extent permitted by Texas law, EIT Controls LLC shall not be liable for any indirect, incidental, or consequential damages, including loss of production or industrial downtime, arising out of the performance or failure of the project.
11. Indemnification
Client agrees to indemnify and hold EIT Controls LLC harmless from any claims, suits, or losses resulting from site accidents, industrial environmental hazards, or third-party claims arising from Client's facility conditions or provided materials.
12. Confidentiality
Both parties agree to treat all business and technical specifications as confidential information. This includes industrial automation logic, project costs, and staffing methodologies disclosed during the term of engagement.
13. Intellectual Property
All designs, software code for instrumentation, and technical methodologies developed by EIT Controls LLC remain the property of the Company unless otherwise explicitly transferred to the Client in a written intellectual property assignment.
14. Data Protection and Privacy
EIT Controls LLC respects your privacy. All personnel and technical data handled by us is subject to industrial security standards. For more information on how we handle information, please refer to our Privacy Policy.

15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Texas. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas.
